Growing international law firm is currently looking to
recruit bright, enthusiastic Tax Associate to handle
critical issues involved in securities offerings, forming,
restructuring, transferring interests in, merging,
converting and dissolving limited partnerships, joint
ventures, public and private syndications, and limited
liability companies on behalf of developers, financial
institutions, nonprofit organizations, and others.
RESPONSIBILITIES:
---structure foreign investments in U.S. real estate and
commercial ventures, as well as U.S. investments abroad.
These include cross-border transactions with entities to
acquire real estate and conduct business throughout the
United States, Mexico, China, Japan and European
jurisdictions.
---counsel clients with respect to stock option plans and
other executive compensation
---represent clients in a variety of tax controversy
matters including U.S. Tax Court litigation, IRS,
Franchise Tax Board and State Board of Equalization audits
and administrative appeals, federal and state private
ruling requests and other tax controversy and compliance
matters
---advise clients on a variety of other tax issues in
forming or expanding businesses, such as contributions to
capital, stock and debt instruments, financing agreements,
buy-sell agreements, securities offerings.
QUALIFICATIONS:
---JD
---LLM (not required)
---Excellent Capital Markets/Structured Finance (CDOs)
experience at a large NY/Wall St firm
---Experience as clerk to federal judges at the U.S. Tax
Court would be a plus
---Outstanding analytical and organizational skills
---Motivated, flexible and creative team player
