RESPONSIBILITIES:
---Represent clients in connection with transactions
involving acquisitions and dispositions of operating
project assets (including power plants and multi-state,
integrated pipelines), synthetic, leveraged and
cross-border leases, portfolio sales, Rule 144A offerings,
project and tax-exempt bonds, minority interest
financings, deconsolidations, mini-perms and conduit
structures
---Advise banks, financial institutions, project sponsors,
governmental entities, equity investors, infrastructure
funds and multilateral and bilateral agencies in
connection with the development, financing, operation and
acquisition and disposition of projects
QUALIFICATIONS:

---Experience dealing with the following would be a plus:
---Financing of leveraged acquisitions
---Project and structured financing
---Real estate financing and syndications
---Syndicated secured domestic and international
financings with complex structural and collateral security
issues
---Acquisition and recapitalization financings
---Asset-based lending
---Debtor-in-possession financing
---Tranche B and other secured mezzanine loans
---Domestic and international loan workouts and
restructurings
---Middle market transactions with a single lender
---Securitization and other structured finance products
---Trade and supply chain finance
---Credit enhancements
---Institutional placements of debt securities
---Disposition of troubled properties
---Familiar with interest and currency swaps, caps,
collars and floors, credit default swaps, total rate of
return swaps and "synthetic securitizations" effected
through derivative transactions
