Leading brokerage firm headquartered in New York City, with approximately 11,200 employees, is hiring a senior attorney for its Asset Management practice area. Successful candidate will provide support and legal advice for:

---Development, operation, and conduct of investment management programs and arrangements under the Investment Advisers Act of 1940 and other applicable laws
---Legal documentation and issues associated with the creation of hedge funds, private equity funds, funds of funds, and wrap fee programs
---Negotiation and drafting of agreements with clients and service providers, including other investment managers, broker-dealers, and mutual funds
---Compliance, internal audit, product management, marketing, sales, administration, and operations issues (related to investment management) raised by senior management
---Drafting of amendments to asset management Form ADV
---Responses to inquiries from state and federal regulatory authorities
---Drafting of policies and procedures for asset management advisory products and arrangements
---Investment advisory, separate account composite, private fund performance advertising, and other client communications compliance with federal securities regulations
---New investment advisory product proposals
---Due diligence process for purchase of investment advisory entities.

Preferred background and skills:

---JD Degree and New York bar admission
---7-10 years of related experience, preferably at a major law firm
---Excellent writing and communication skills.
