The New York office of an international law firm has an
immediate opening for capital markets associates to
support various capital markets activities for
institutional broker-dealer, including derivatives,
foreign exchange and fixed income business lines.
RESPONSIBILITIES:
---Advising corporate clients on general securities laws,
including compliance with and reporting under the ’33
Act and ’34 Act
---Representing issuers and investors in financing
transactions
---Representing financial institutions, underwriters and
agents in public and private offerings of debt or equity
securities
---Advising institutional clients on trading and
documentation matters
---Advising clients with respect to the potential impact
of pending legislation on their businesses and
operations.
REQUIREMENTS:
---JD
---2-6 years of experience
---Excellent drafting, documentation and negotiation
skills
---Detailed knowledge and understanding of documentation
related to OTC derivative transactions, ISDA master
agreements, repurchase agreements and underwriting
agreements
---Securities and/or financial services litigation
experience a plus, but not required
---The ideal candidate will have a strong
academic record and the capacity to work both as part of
a team and independently.
